PetDesk® Rewards Terms of Service

This Rewards Program (the “Rewards Program”) is offered exclusively by your pet care provider, (“Company”) and is administered by Locai, Inc. DBA PetDesk (“PetDesk”). There is no purchase or minimum spend required to be enrolled in the Rewards Program. Once you opt in to the Rewards Program, you are considered a “Member” of the Rewards Program and will receive points per the Company’s Reward plan. Reward status (“Status”) refers to the status based off cumulative points within a calendar year. Reward points (“Points”) refer to a Member’s point accrual and Reward Credits (“Credits”) refers to dollars, discount, or special offers that a Member receives based on Point accrual or Status.

By participating in the Rewards Program, you agree to be bound by these Terms and Conditions (“Rewards Program Terms”). In these Rewards Program Terms, “we”, “our” and “us” mean the Company; and “you” and “your” mean each Member enrolled as a Member of the Rewards Program.

We reserve the right to change these Rewards Program Terms or the Rewards Program at any time and in any way (including our right to discontinue or change the benefits, change the expiration date of Rewards points or Reward credits received under the Rewards Program, merge the Rewards Program with another rewards program at a later date, or adjust the number of Rewards points received for each dollar in Net Purchases). Updated versions of these terms will never apply retroactively and the updated terms will give the exact date they go into effect. If we discontinue this Rewards Program or merge this Rewards Program into another rewards program, it is possible you may not be able to receive Rewards points to redeem a credit or increase to a higher level. To the extent required by applicable law, we will give you notice if we end the Rewards Program or make a major change to it. Your continued participation in the Rewards Program after we make changes to it or these Rewards Program Terms signifies your acceptance of such changes.

We reserve the right to cancel your participation in the Rewards Program in the event of fraud, abuse of privileges, or violation of these Rewards Program Terms.

REWARDS PROGRAM ELIGIBILITY

The Rewards Program is available to any resident of the United States who is over the age of 14. Corporations, groups and associations are not eligible to participate in this Rewards Program.

EARNING POINTS:

You must have an account with Company in order to receive points. Your account must be in good standing in order to receive Points. Once you have purchased from us, you will receive points in accordance with the Points and Credit Earning Policy defined in the app.

Points are earned based off Net Purchases and will automatically be reflected in your account. “Net Purchases” means subtotals of purchases less returns and any applicable sales tax. Net Purchases are calculated on a per transaction basis. To check your Points, login to your account through the PetDesk mobile application. All Points are non-transferable.

BONUS POINTS

You may have the option to earn bonus Points when an order or service qualifies, by completing certain tasks, or during bonus Point periods. Promotional Point periods will be available sporadically. You must adhere by promotional Point terms and conditions noted during promotional periods, as they are subject to change.

REWARD REDEMPTION

You will earn Rewards in accordance with the Company’s Reward plan. Rewards cannot be redeemed on current or past purchases. Reward redemption cannot be combined with any other discount. Rewards are nontransferable and have no monetary cash value.

POINT AND CREDIT EXPIRATION

Points received but not yet converted into a Reward will expire in accordance with the Company’s Reward plan.

All points will be forfeited if your account is closed or deemed not in good standing by Company.

Dispute Resolution:

Contact Company First

If a dispute arises between you and Company or PetDesk, our goal is to learn about and address your concerns, and, if we are unable to do so to your satisfaction, to provide you with a neutral and cost effective means of resolving the dispute quickly. You agree that you will notify us about any dispute you have with us regarding the Rewards Program Terms by sending us an email at support@petdesk.com.

Alternative Dispute Resolution

For any claim where the total amount of the award sought is less than $10,000 USD, the party requesting relief may choose to resolve the dispute through binding non-appearance-based arbitration in accordance with the following: (i) the arbitration will be provided through a nationally-recognized alternative dispute resolution provider mutually agreed upon by the parties; (ii) the arbitration will be conducted in one or more of the following manners at the option of the party initiating arbitration: telephone, online, or written submissions; (iii) the arbitration will not involve any personal appearances by the parties or witnesses unless otherwise agreed by the parties; and (iv) any judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.

Governing Law and Venue

These Rewards Program Terms will be construed and interpreted under the laws of the state of Delaware, without regard to any Delaware conflict of law provisions. Any action or proceeding relating to a claim or controversy at law or equity that arises out of or relates to the Rewards Program Terms (a “claim”) must be brought in a federal or state court located in Delaware. If any part of these Rewards Program Terms is found to be void or unenforceable under applicable law, all other parts of the terms and conditions will still apply. All dollar amounts referred to in these Rewards Program Terms are in U.S. dollars.
